TERMS AND CONDITIONS

All stallholders at the Asian Woman Festival must adhere to the following
Terms and Conditions:

By submitting an application form to the Asian Woman Festival to be part of the Festival Bazaar as a stallholder, you are agreeing to have accepted these terms and conditions.
These terms and conditions are mandatory for all exhibitors and have been compiled to ensure the Asian Woman Festival operates to the highest possible standards.

Definitions  
 
Application - The application form completed by the Stallholder to take a stall for the Contract Period at the Venue.  
 
Stall – The stall premises at the event 
 
Charges - The costs to be paid by the Stallholder to the Organiser in respect of the licence to sell goods approved by the Organiser at the Stall for the Contract Period.  
 
Contract - These Terms and any other terms notified by the Organiser as being applicable. Contract Period The duration of the Contract and the Stallholders’ licence of the Stall to sell goods approved by the Organiser as described in these Terms and conditions. Event – The Asian Woman Festival 
 
Exhibitor(s)/Stallholder(s) - The Stallholder named on the application form.  
 
Opening Hours - The hours the Stallholder shall open the stall during the Contract Period, being 10h00 to 17h00  
 
Organiser – Asian Woman Festival  
 
Festival Bazaar – Marketplace where the stalls are situated 
 
Permitted Purpose - The sale of merchandise by the Exhibitor from the Stall during the Opening Hours of the Event in accordance with these terms and conditions.  
 
Regulations - All current and future law, regulations, notices or any order of any applicable governing body which affect the Organiser, the Exhibitors, the Shall, the Permitted Purpose and generally.  
 
Terms - The terms and conditions in this document, being the Bazaar Exhibitors Terms’ which are incorporated into the Contract.  
 
Venue – Walsall Football Club, The Banks' Stadium, Bescot Crescent, Walsall, West Midlands, WS1 4SA

1. Type of Product  
All products offered for sale by a Stallholder shall be of a unique nature and not readily available in high street shops. In order to maintain quality and for the benefit of all traders, only those items indicated on the application form may be sold. 

2. Criteria for application  
Stallholders will be selected at the organiser’s discretion against strict criteria including the range of products available at the bazaar, quality of product, uniqueness and customer appeal. We do not offer exclusivity on any products. Asian Woman Festival retains the right to refuse a pitch at our discretion. Stallholders who have exhibited at previous Asian Woman Festival event are not guaranteed a stall at this or future events. 

3. Location  
Stallholders will not be able to select their stall position and will not have their location confirmed upon booking. The location will be determined by the event organisers based on product mix, electrical requirements and other requirements organisers need to be considered. 

4. Trading Periods  

Stallholders must book and operate their stall for the entire contracted trading period. We reserve the right to offer amended trading periods at our discretion. 

5. Opening Hours  

The Asian Woman Festival will be open from 10 am – 4.30 pm. All stalls must be manned and trading between the hours 10 am and 4.30 pm on each day. Failure to do so will result in a ban from attending future Asian Woman Festival Events. 

6. Set Up and Dismantling Times  

Stallholders will be able to set up on the morning of the event. You will be asked to arrive at a specified time to set up before the event starts. All stalls must be cleared by 5.30 pm. 

7. Stallholder Parking  
Stallholders may park in the main car park, free of charge.  
 
8. Noise
“Auctioneers”, PA’s/amplification, hawking and peddling are strictly forbidden. 

9. Rubbish  
Stallholders must dispose of their rubbish in the appropriate manner, using the bins provided on the event site. 

10. Stallholder Conduct  
Using offensive or abusive language towards staff, fellow Stallholders or visitors will forfeit your position to trade with the Asian Woman Festival at the Festival Bazaar and all future events. Stallholders should not do anything while at the festival bazaar to bring the event or event organiser into disrepute. Promoting other organisers’ events is not permitted on your stall. Upon leaving the stall at the end of a contracted period, stallholders must dispose of all rubbish and leave the stall in a clean and tidy condition.
 
11. Health and Safety
Stallholders must comply with the regulations of the Health and Safety at Work Act 1974. Stallholders must notify the event organisers as soon as they become aware of any health and safety issues or hazards that may have arisen at the Asian Woman Festival. No naked flames are permitted within the stalls. All electrical equipment must be PAT tested. All children’s products must have a British Safety or European Safety Standard. 

12. Stall Boundaries  
Stallholders are required to keep their products within the known stall area at all times unless permission has been granted by the event organisers. ‘A frame’ advertising boards are not permitted in the walkways. 

13. Food and Beverage Stallholders  
Stallholders selling food and drinks will be asked to produce relevant documents as listed on the Application Form. Where refreshments or food items of any description are offered for sale or consumption, the caterer must ensure that the supply, production, storage, handling and service of all such items comply fully with all legal requirements, in particular, the Health & Safety Act 1974, The Food Hygiene (General Regulations 1970), and the Food Safety Act 1990, and any other regulations made thereunder.

A copy of these documents must be supplied to the Asian Woman Festival no later than 1 March 2020 otherwise the contract may be terminated with no liability to the organiser and the loss of all monies paid. Applicants wishing to sell alcohol must provide evidence of a license to sell alcohol. Alcohol sales are for offsite consumption only unless pre-agreed with the event organisers. Age verification and smaller measure policies must be followed. 

14. Booking Procedure  
All potential stallholders must complete the Asian Woman Festival Bazaar Application Form and ensure they have filled in all the applicable sections. Applications will not be accepted without all sections being completed. Booking online is a binding legal agreement and acts as a confirmed booking. Cancellation fees apply if bookings are cancelled once submitted online. Full balance of payment is required before stallholders enter the venue.

15. Notification
Stallholders will be notified within 60 days of the Asian Woman Festival event date, whether they have been successful in securing a stall at the festival bazaar. Successful applicants will be sent confirmation, along with an invoice for the full amount due. Due to the number of applications we receive, we may not be able to notify you if you haven’t been successful.  

 

16. Payment Terms  
Full payment is to be made within 14 days on receipt of the payment details. Failure to pay within 14 days will result in loss of stall at the festival bazaar unless an extension has been agreed in writing with the event organisers. Asian Woman Festival reserve the right to use dynamic pricing at our discretion.  
 

In the event of late payment for your stall and anything else which you have booked, compound interest will be added at 8% per month for the period after which payment is due, up until full payment is received. A minimum of £250 debt recovery costs will be applied if payment is not made by the agreed dates in these Terms and Conditions.

17. Cancellation Policy  

If a stallholder cancels their booking and has paid the final balance the following cancellation policy will apply: - Cancellation within 14 days of payment received = 50% payable.
- Cancellation after 14 days of full payment or after = 100% payable.
Should the event be cancelled or interrupted due to circumstances beyond the organisers’ control, Asian Woman Festival will not be held liable to refund any monies paid.  
 

Cancellation must be made in writing by email by the person who has booked online originally. This cancellation policy applies only to stalls. Furniture, advertising, sponsorship and other marketing options will be charged at the full price.

We are unable to offer refunds in the case of any non-appearances by people advertised to appear at the show, or cancellation of the show due to severely inclement weather conditions.

18. VAT  
All prices exclude the applicable VAT rate at the time of making payment.  
 
19. Liability
Stallholders are responsible for their own goods at the event and no responsibility is accepted by the organisers for loss, damage or financial loss due to abandonment or cancellation of the event due to severe inclement weather or other factors beyond our control or any other factors. The organisers will not be able to refund any money taken in advance of the show in any circumstances.

Asian Woman Festival are not responsible for the services provided, or decisions made, external contractors at the venue. Asian Woman Festival are not liable in the event of cancellations or failure to provide any services supplied by external contractors.

 

All exhibitors are solely responsible for their stalls before, during and after the event, and the organisers cannot be held responsible for any damage or theft to their stalls, stock or any other property that is on their stalls. Exhibitors are advised not to leave valuables (money, electrical equipment etc) on their stalls overnight.

20. No Rights  
The license granted in these Terms is solely for the rent of a stall and does not confer the relationship of landlord and tenant or any rights and obligations arising from such a relationship. Nor does it confer any interest or estate of any nature whatsoever in, on, over or under any part of the Venue. 

21. Variation  

No variation of these Terms or of any of the documents referred to in it shall be valid unless it is in writing and signed by, or on behalf of the Organiser. The Organiser may vary these Terms at any time prior to the Event by notifying the Exhibitor in writing of such variation.  
 
22. No Partnership  

Nothing in the Contract shall be deemed to constitute an association, partnership or joint venture between the parties or constitute any of the parties as an agent of the other parties.  


23. The Law  

The Contract, and any dispute or claim arising out of or in connection with it or its subject matter, shall be governed by and construed in accordance with, the law of England and Wales. The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with the Contract or its subject matter.  

 

24. Deliveries and Collections

Deliveries and collections to and from the venue are entirely at stallholders’ risk. Asian Woman Festival cannot be held responsible in any circumstances for failure of delivery or collection which may result in loss of trading or stock for the stallholder. Stallholders must take responsibility to ensure that all deliveries are made within the times outlined in the exhibitors manual, and likewise, any collections are made within the stated times. In the unfortunate event of your stock not being delivered in time, we cannot issue refunds in any form. Stallholders are advised to check thoroughly that their deliveries are made in time with their courier services.


Stallholders are also requested to ensure that any deliveries and collections arrive with suitable equipment to unload stock and move to your stall or storage area. Asian Woman Festival does not supply trolleys, forklift trucks, trolley-jacks, or other equipment to load, unload and move stock.

 

25. Charity Collections

Charity Collections may only be made off stalls that are registered and hold the correct license for collecting in public. Collectors are not permitted to walk around the venue or outside the venue collecting for charities in any circumstances.

 

26. Venue Damage

Any damage incurred to the fittings of the venue may incur an extra dilapidation charge after the event.
 


Should any stallholder or associated staff be deemed to have breached these terms and conditions, Asian Woman Festival reserve the right to remove them from the site, with no refund granted.
